Terms of service
These terms are the agreement between you and Youssef Abdrabbo, who operates Umbra. Using the API or the dashboard means you accept them.
What we provide
Umbra is an OpenAI-compatible API gateway. You send requests to our endpoint, we forward them to a model provider, and we bill you for the tokens used at the prices published on our pricing page.
We are a reseller. We do not train, host, or own the models, and we do not control their outputs. Model availability can change: a model can be renamed, repriced, or withdrawn by whoever operates it, and when that happens we will update the catalogue and tell you.
Your account
Accounts are created through Discord. Your Discord account must be at least 30 days old and have a verified email address. One Discord account is one Umbra account, and one email address is one Umbra account — creating additional accounts to obtain additional trial credit is a breach of these terms and of our acceptable use policy.
You are responsible for your API keys and for everything done with them. A key is shown once, at creation, and we cannot recover it — we store only a hash. If a key is exposed, revoke it in the dashboard; requests made with a key before you revoke it are yours.
Plans, allowances and billing
Plans are monthly subscriptions that grant a daily spending allowance. The allowance resets every day and does not roll over — unused allowance is written off at the reset, which is what makes the daily figure as large as it is.
Requests are priced per token against the published rate card. Before each request we place a hold for the most it could cost, and we settle to the actual cost when it finishes. If a request ends up costing more than the hold, the difference is charged; if it costs less, the difference is returned. Your usage and every credit movement are visible in the dashboard.
Payments are processed by our payment provider, who acts as merchant of record and handles applicable sales tax. Subscriptions renew automatically each month until cancelled. Cancelling stops future renewals; see the refund policy for what happens to the current period.
Prices can change. We will give at least 30 days' notice before a change affects an existing subscription, and you can cancel in that window.
Rate limits and fair use
Each plan carries a request rate, a burst allowance, and a limit on simultaneous requests. We also apply a limit on how fast a single account can spend, and a service-wide limit that protects everyone if total demand spikes. Exceeding any of them returns HTTP 429 with a Retry-After header; it is not a fault and it does not consume your allowance.
Suspension
We may suspend or close an account that breaches these terms or the acceptable use policy, that creates a risk to our upstream provider relationships, or that we are required to act on by law. Where we reasonably can, we will tell you why and give you a chance to fix it. For serious breaches we may act immediately.
If we close your account for something other than a breach by you, we will refund unused paid time on a pro-rata basis.
Availability
We do not offer a service level agreement. Umbra depends on third-party providers and on Cloudflare, and it can be unavailable. Current state is on the status page. If an outage costs you meaningful allowance, contact us — we would rather credit you than argue about it.
Liability
The service is provided as-is. To the extent the law permits, our total liability to you for any claim is limited to the amount you paid us in the three months before the claim arose. We are not liable for indirect or consequential loss.
Nothing here limits liability that cannot be limited by law, including your rights as a consumer where those apply.
Content
You keep whatever rights you have in what you send and what you get back. We do not claim any rights in it, and we do not read it — we never store the content of your requests or responses. See the privacy policy for exactly what we do store. Model providers have their own terms about content, and our acceptable use policy covers what you must not send.
Changes
We may update these terms. Material changes will be announced before they take effect, and continuing to use the service after that is acceptance. The date at the top is the effective date.
Governing law
These terms are governed by the law of Manitoba, Canada, and its courts have jurisdiction over any dispute.
